These Terms of Service ("Terms") govern your use of the Choon application and related services (collectively, the "Service"). By creating an account, purchasing tracks, or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet these requirements.
2. Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- We may suspend or terminate your account if you violate these Terms.
3. Track Credits and Payment
- The Service operates on a track credit-based system. One (1) track credit purchase equals the ability to tag one (1) track in your library.
- Track credits are sold in bundles and may be purchased through the Service.
- Track credits have no monetary or cash value, are non-refundable, and are not redeemable or exchangeable for money or any other consideration.
- Track credits are a consumable digital product and are considered delivered at the time of purchase.
- We may, at our discretion, provide free promotional track credits. Promotional track credits may be subject to additional restrictions or expiration.
4. Expiration of Track Credits
- Purchased track credits do not expire during the normal operation of the Service.
- If the Service is discontinued, all unused track credits will expire upon shutdown.
- We are under no obligation to refund, exchange, or otherwise compensate users for unused track credits in the event of account closure, termination, or discontinuation of the Service.
5. Service Availability
- The Service is provided "as is" and "as available."
- We may modify, suspend, or discontinue the Service, or any part of it, at any time without notice or liability.
- We do not guarantee uninterrupted or error-free operation of the Service.
6. Refund Policy
- All sales are final. Purchases of track credits or other digital goods are non-refundable to the fullest extent permitted by law.
- Any refunds provided are at our sole discretion.
7. Intellectual Property
- All software, features, and content provided by Choon are owned by Madrugada LLC or its licensors.
- You may use the Service solely for personal, non-commercial purposes.
8. User Content
- You retain ownership of your music files and associated metadata.
- By using the Service, you grant us a limited, non-exclusive license to process and analyze your files for the purpose of providing the Service.
- We do not claim ownership of your library or music files.
9. Prohibited Uses
You may not use the Service to:
- Violate any applicable law or regulation;
- Interfere with or disrupt the Service;
- Attempt to reverse engineer, decompile, or otherwise misuse the Service;
- Resell track credits or accounts without our prior written consent.
10. Termination
- You may stop using the Service at any time.
- We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the Service.
11. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
To the fullest extent permitted by law, Choon and Madrugada LLC shall not be liable for:
- Any indirect, incidental, or consequential damages;
- Any loss of data, profits, or track credits;
- Any damages exceeding the amount you paid to us in the 12 months prior to the claim.
13. Indemnification
You agree to indemnify and hold harmless Choon, Madrugada LLC, and their affiliates from any claims, damages, or liabilities arising out of your use of the Service or violation of these Terms.
14. Governing Law
These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.
15. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted in the Service with a new effective date. Your continued use of the Service after changes indicates your acceptance of the revised Terms.
